From the first valuation conversation to the final closing wire, every Nexus Concord engagement moves through four deliberate phases. The same advisor leads each phase. The same standards apply throughout.

Phase One

Preparation & Analysis

Before any business goes to market, Nexus Concord does the work that determines whether the sale will succeed. This phase has three components, executed in parallel.

Pre-market diligence. Nexus Concord conducts structured diligence on the seller — financial recasting to true Seller's Discretionary Earnings, operational documentation, contract review, IP assignments, corporate governance, and known compliance risks. The work won't anticipate every individual buyer demand, but it surfaces foundational issues that can be addressed on your terms, not during a buyer's renegotiation.

Valuation. A comprehensive Opinion of Value grounded in real comparable transactions — not an inflated number designed to win the listing.

Psychological preparation. Preparation for the predictable inflection points where the post-LOI process tests sellers — buyer-induced doubt, fatigue-driven concessions, family alignment, identity decoupling. Pattern recognition applied to the human side of the transaction.

This phase typically takes 30 to 60 days and produces the foundation for everything that follows.

Phase Two

Marketing & Outreach

Confidential, professional, and targeted. Nexus Concord prepares two core marketing documents: an anonymous teaser that gauges buyer interest without revealing your identity, and a comprehensive Confidential Information Memorandum (CIM) that walks qualified buyers through the business in depth — operations, financials, customers, growth opportunities, and management.

From there, controlled outreach to the buyers most likely to value your business — strategic acquirers, private equity firms, family offices, and qualified individual buyers. A decade of Indiana and Midwest market relationships informs who gets contacted and in what sequence.

All outreach is gated by signed Non-Disclosure Agreements and verified buyer financial capacity. As serious buyers progress through diligence, Nexus Concord manages a secure, permission-controlled data room that organizes every document buyers will need to evaluate your business. Your confidentiality is protected at every step.

Phase Three

Buyer Management & LOI

Qualified buyer interest converts to management meetings, structured information exchange, and ultimately competing Indications of Interest and Letters of Intent. Nexus Concord manages the negotiation dynamics, surfaces and addresses concerns early, and structures the LOI to protect your interests through diligence.

Due diligence coordination begins here. Nexus Concord organizes the data room, coordinates buyer requests, and prepares the operational, financial, and legal documentation buyers will scrutinize.

Phase Four

Deal Management & Closing

From signed LOI to closing wire, Nexus Concord manages the dozens of moving parts that determine whether a deal closes well, closes badly, or doesn't close at all. Coordination with your attorney on the definitive purchase agreement. Coordination with your CPA on tax structuring. Buyer financing oversight. Closing checklist management.

The job ends when the wire hits your account — and not a moment before.
